There is a full proposal sample in the appendix to Rasputin For Hire. There's also a chapter in the book that discusses in some detail the objective of each section of the proposal, what it needs to include, etc.

Of course, you need to understand the mindset and perspective of your target audience. Some companies behave as though product development is essentially a marketing function (where the process starts by understanding consumer needs), while others think of it as a kind of engineering or manufacturing process ("What can we make?"), etc.

Your proposal needs to reflect that you understand where the "proposee" is coming from, and that you've approached the problem the same way they would have.
