Advice Needed For A First-time Collaborator

Greetings to you

May I introduce myself as a first time collaborator/entrepreneur.

I have always been a creative person with several years experience, and having a business school graduation majoring in Marketing. Hence have also been extensively involved in creating Marketing Material (Documentation and Designs), Corporate Branding, New Business Ideas, also had a stint in my family business years ago.

But now I am in that stage in my career that I have to think entrepreneurial to get more competitive.

I am collaborating with a relatively new in business, Design House where I would be providing leads and helping create a Sale, while getting my ideas/clients ideas installed through them, with help of their Project Managment experience (they have good experience in this, but need to establish a market-presence as an entity.

As a first step we are deciding not to sign any paper agreements because both of us need to know if this will work out. I just want to try with 1 lead to start off with.

To start off I will be providing

* A lead
* Physically visit the client and try to make it into a sale with the help of the Design House's technical team and business expertise in the field.
* I create a Company Profile for them (It's a dvd-movie animation demo)

My questions:
1. Do I make a paper agreement before I get started? Or do I try with this firm with my first lead

2. I also make a living creating Company Profiles for other firms like them.

Hence, do I charge them for creating their Company Profile/Animation Demo before we get started. Or mutually agree that I deduct the charges from our first sale? Because if this collaboration does not work out I don't want to be loosing out as I would have already spent quality time doing their profile for nothing, while they have a free demo reel.

I work in a very cut-throat Dubai market, with a multi-cultural players. It is common-place for a small-time business person like me to get played by the other party who usually tries to walks away with a lion's share. So I fear if this does not work out my efforts would be in vain. I am a single person who will be collaborating with a Design House with atleast 3 Directors.

    Anytime you give away your work - I'm talking about the design dvd and plan - that you usually charge for, you are diminishing its value to them and to others. The work you do to follow up one lead to test this part of the relationship, you can decide whether they would live up to their part of the bargain without a contract. But the part that is your normal work for hire and that they will own if the rest doesn't work out, needs to have a contract and payment.

    It is certainly helping me to make some fast decisions before I indulge in this venture.
