Trademarks & T-shirts

I am looking at creating a fun T-Shirt for a Tile company to give out to their contractor customers.

We are thinking of doing "Oscar the Grout" - showing a graphic of Oscar the Grouch in his trash can, holding a grout float/trowel and maybe a could pieces of tile.

Is this completely illegal due to him being a trademarked character?

Anyone have further info or a resource I can look into?

    Oh yeah! I had a friend who's name was Ernie and used Ernie on his logo and they were on him like white on rice!

    But I love the slogan!

    I am wondering if we use a graphic that is similar, but not created by Sesame Street we can get away with it???
