Sorry Roger, there is not a single stanard for the structure of a marketing organization in any company.

Personnel, responsibilities, and reporting can vary from company to company and are usually determined by corporate goals, strengths of the available talent, and preference (may feel like whim) of executive management.

You could make a sound argument for either side of your situation. I would suggest a structure where the two directors are peers, but you have not indicated who they report to, the nature of your business, and many other factors.

    Hope this helped.

It looks like 2 directorate level jobs but they must collaborate and not compete against each other as this is devisive. By working together they can maximise muti channel sales 'clicks and bricks'

I agree with JohnnyB in that there is no one best way that would for in every company. A lot varies for each particular company, their situation, and the strengths of the people there.

In general, I would want e-commerce to fall under marketing. E-commerce is just one way to go to market, and if done wrong, can seriously impact other go to market strategies (your retailers, in your case). Best to have someone who can look at the big picture and make a decision on what will give the best balance of sales. I usually wouldn't want that person to be the CEO, as they have so many other things to watch they likely couldn't make the time to do this appropriately.
