Brand Positioning is how a product appears in relation to other products in the market.
Brands can be positioned against competing brands with public perception defining the market in terms of the way buyers perceive key characteristics of competing products in terms of their price and quality.
Re-branding is the creation of a new name, term, symbol, design, or a combination of them for an established brand with the intention of developing a differentiated (new) position in the mind of stakeholders and competitors.

So to differentiate, If your brand positioning does well there may be no need for re-branding if you're measuring results. If you are not getting the desired results you may need better brand positioning or Re branding to get the best response possible.

Testing and measuring the results are the key.
